Junior Associate Lawyer – Corporate, M&A – Capital Markets

Main responsibilities:
- Supporting day-to-day corporate booking of legal entities (indicatively drafting GM/BoD minutes, adjusting articles of incorporation) and familiarity with Greek Commercial Registry (G.E.MI.) operation.
- Drafting, reviewing and negotiating standard types of commercial agreements (indicatively supply, distribution, services agreements as well as NDAs etc.).
- Assisting in the structuring, drafting, review and negotiation of financing arrangements, including loan agreements, simple bond loan agreements (ΚΟΔ), shareholder and intra-group loan arrangements, corporate guarantees and other related financing and security documents.
- Assisting in the structuring and execution of corporate reorganisations and M&A transactions, including share transfers, capital increases, mergers, demergers, transformations and other corporate actions, as well as preparing the relevant corporate and transactional documentation and G.E.MI. filings.
- Assisting with legal due diligence exercises in the context of M&A, investments and financing transactions, including reviewing corporate, commercial, contractual, regulatory and other relevant documentation, identifying key legal risks and preparing due diligence reports and/or red-flag reports.
- Assisting in corporate and M&A transactions, including preparation, review and coordination of transaction documentation and corporate approvals, with particular focus on share purchase agreements (SPAs), shareholders’ agreements (SHAs), investment agreements, subscription agreements, term sheets, confidentiality agreements and other ancillary transaction documents.
- Assisting with capital markets transactions, including public and private offerings, listings, admissions to trading and other securities transactions, through preparation and review of transaction documentation, corporate approvals, legal due diligence and regulatory filings.
- Taking an active interest in future trends that may influence a transaction.
- Αdvising on compliance with national and EU law and regulations, regulatory and reporting requirements.
- Representing clients before the Bank of Greece, the Hellenic Capital Market Commission, Euronext Athens and other regulatory bodies.
- Developing ongoing relationships with a prominent client base.
Main Qualifications / Personal Characteristics
- Bachelor’s Degree in Law.
- Master’s degree, preferably in Corporate/M&A, Capital Markets, or other relevant field.
- Qualified as an attorney-at-law in Greece.
- 1 – 2 years of relevant prior experience. Proven track record in Corporate/M&A, Banking & Finance related work is an asset.
- Analytical and drafting skills, clear and concise writing.
- Excellent communication skills and ability to condense complex information into practical advice
- Fact checking skills and keen attention to detail.
- Excellent command of the English language (both oral and written).
- Commitment, integrity and work ethics.
- Ability to work independently and as a team member under strict deadlines.

Main responsibilities
- Advises on all aspects of IP including trademark and copyright clearance, registrations, brand protection and enforcement, and IP issues arising in new ventures, marketing campaigns and product launches.
- Manages and oversees trademark portfolio matters and the prosecution process for trademarks and patents, including preparing and reviewing filings, monitoring deadlines and maintaining accurate records.
- Supports M&A projects by taking responsibility for IP due diligence and coordinating relevant documentation and post-acquisition IP integration.
- Drafts and reviews IP-related agreements, including basic IP assignments and licenses.
- Handles IP litigation and enforcement matters, including drafting cease-and-desist letters, oppositions and cancellations, monitoring trademark use on social media, and assisting in the preparation of settlement documentation.
- Collaborates with and provides guidance to other team members on day-to-day IP matters and case management, while ensuring the effective and timely delivery of client work.
Main Qualifications / Personal Characteristics
- Bachelor’s degree in Law.
- Qualified as an attorney-at-law in Greece.
- Master’s Degree with specialization in IP from a prominent University.
- Proven track record of minimum 6 years both from an advisory and law enforcement-oriented practice.
- Excellent command of the English language, both oral and written.
- Personality of high ethics and integrity.

- Demonstrated ability to manage complex matters, coordinate workstreams and interact directly with clients with an appropriate degree of autonomy
- Excellent drafting and communication skills in both Greek and English
- Strong analytical skills, commercial awareness and attention to detail
- Ability to manage multiple workstreams and work effectively in a fast-paced environment
- Experience in a leading law firm, international law firm or financial institution will be favourably considered
- Postgraduate studies in a relevant field will be considered an asset
