KG advised Blue Grid Gas & Power on the acquisition of a biogas production unit “Biomesti”

KG Law Firm’s Energy Infrastructure team advised Blue Grid Gas & Power on the acquisition through its affiliate entity, Bluefuel, being a member of Molgas Energy Holding, of a biogas production unit “Biomesti” with an installed capacity of 999 kW (for which a capacity increase of 999 kW is planned, i.e. a total of 1,998 MW), based in Mesti, Evros. KG supported Blue Grid Gas & Power in various aspects of the deal such as performance of legal due diligence, provision of advice on deal structuring, corporate support on various aspects, drafting and negotiation of the transaction documents up until closing of the transaction. Also, KG has conducted a tax due diligence and provided tax advice to all aspects of the transaction.

Following the acquisition, the ultimate goal of Bluefuel is, among others, to increase the capacity of the unit and to install a unit upgrading biogas to biomethane, a product chemically identical to conventional LNG.

The following members of the Energy Infrastructure team were engaged to support Blue Grid Gas & Power : Anna-Maria Papamichalopoulou (Associate) was nominated as the focal point and led the transaction issues, Iakovos Koulouris (Associate) took full responsibility on the land and regulatory related matters and developed the due diligence reports, Alkistis Vallianatou (Junior Associate), Maria-Agapi Alexiadi (Junior Associate) and Nina Leopoulou (Junior Associate) assisted the completion of the transaction. From the Tax team, the following members were engaged: Ioanna Barmpa (Senior Associate) and Eleana Gkotsoulia (Associate) developed the tax due diligence report and supported Blue Grid Gas & Power with all tax related aspects of the transaction.
