Advising Coca-Cola Hellenic (CCH) for the relocation of its corporate seat from Greece to Switzerland and its relisting from the Athens Exchange to the London Stock Exchange

KG Law Firm advised Coca‑Cola Hellenic Bottling Company S.A. on the transfer of its Greek operating assets and liabilities and its contribution to its wholly owned subsidiary “Elchym S.A.” in accordance with Law 2166/1993.

KG Law Firm advised on the exchange offer and dual listing of Coca Cola Hellenic Bottling Company (CCHBC). CCHBC was listed on the primary market of the ATHEX (capitalization of approx. €7 billion), as well as with the Standard Segment of the Official List of the LSE’s Main Market, while its American Depositary Shares (ADSs) were trading on NYSE.

The deal was structured as a Greek law voluntary tender exchange offer for shares or CDIs issued by Coca-Cola HBC AG, a corporation organized under the laws of Switzerland. The Swiss entity’s shares were listed on the LSE, the NYSE and we achieved a first-time parallel listing on the ATHEX; KG Law Firm was the advisors of Coca Cola Hellenic, in the first transaction of this type in the Greek market.
