Kyriakides Georgopoulos Law Firm acted as legal advisor to “Eni Gas e Luce S.p.A.”, the Eni’s group retail gas & power company, wholly owned affiliate of “Eni S.p.A.”, with regards to the purchase by “Eni Gas e Luce S.p.A.” of an additional 51% participation in the Greek company EPA Thessaloniki-Thessalia S.A. (Zenith Gas & Light) (“EPA”).

EPA was owned 51% by the national company DEPA and 49% by “Eni Gas e Luce S.p.A. This transaction was in the context of the planned restructuring of the Greek retail natural gas market and upon its completion “Eni Gas e Luce S.p.A.” will become the sole shareholder of EPA. Our role was to review the relevant sale and purchase agreement (“SPA”), participate in the negotiations with the seller regarding the finalization of the SPA and the transaction and provide any necessary to this end legal advice, including advice on regulatory issues (e.g. any filing requirements, based on the current energy regulatory framework etc.) (2018).
