We are delighted to have advised Danone SA and Numil Hellas SA with regards to the merger effected through absorption of Danone SA by Numil Hellas SA according to the provisions of Greek Law 4601/2019 on corporate transformations and Law 2166/1993 on tax incentives.
 
The merger was completed on May 5th, giving effect to the implementation of the Group’s strategic business planning by resulting in significant benefits of synergy, economies of scale as well as optimization and expansion of activities.
 
KG team was led by Partners Irene Kyriakides & Panagiotis Pothos and Senior Associates Ioanna Barmpa & Efthymia (Effie) Pragianni provided tax consulting services with regards to the merger as well as ongoing legal support throughout the implementation of the merger process, including preparation of the transaction steps plan, coordination of the legal and financial advisors involved, drafting of the merger documentation and provision of ongoing legal support during the various steps of the restructuring process, while Partner Ioanna Kyriazi assisted the transaction on matters related to her field of expertise.
